Terms of Service
1. Acceptance of These Terms
These Terms of Service ("Terms") govern your access to and use of it-charlotte.com and the related forms, scheduling links, and lead-capture features (the "Site"), operated by IT-Charlotte ("IT-Charlotte," "we," "us," or "our"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
These Terms apply to use of the Site only. Services delivered to clients are governed by a separate signed Managed Services Agreement (MSA), Statement of Work (SOW), and applicable Service Level Agreement (SLA), not by these Terms.
2. Permitted Use of the Site
You may use the Site to learn about IT-Charlotte, request information, complete the pricing quiz, request a non-binding estimate, schedule a discovery call, and contact us through the methods we provide. You may not:
- Scrape, harvest, mass-download, or otherwise extract content or contact information by automated means.
- Submit unlawful, fraudulent, misleading, defamatory, harassing, infringing, or harmful content.
- Probe, scan, penetration-test, or attempt to bypass security controls, rate limits, authentication, or logging.
- Interfere with or disrupt the Site, its supporting infrastructure, or other users' access to it.
- Use the Site in any manner that violates these Terms, our Acceptable Use Policy, or applicable law.
3. Estimates Are Non-Binding
Pricing displayed on the Site, generated by the pricing quiz, or provided in response to a Site inquiry is non-binding. Final pricing, scope, service inclusions and exclusions, response targets, payment terms, and all other commercial terms are set only in a signed MSA, SOW, order form, or other written agreement signed or accepted in writing by IT-Charlotte. Site content and Site-generated estimates are not offers capable of acceptance.
4. No Service Relationship Is Created by Site Use
Visiting the Site, submitting a contact form, completing the pricing quiz, receiving a Site-generated estimate, exchanging email with us, or scheduling a discovery call does not create:
- A managed services agreement, support relationship, or client relationship;
- An obligation by IT-Charlotte to provide ongoing support, monitoring, on-site response, emergency response, or any other service;
- A duty of care, fiduciary duty, advisor duty, or professional duty; or
- Confidentiality obligations beyond those described in our Privacy Policy.
A client relationship begins only when both parties sign or accept an MSA in writing.
5. Intellectual Property
All content on the Site — including text, graphics, layout, design, logos, icons, photographs, branding, service descriptions, pricing pages, and the structure and arrangement of the Site — is owned by IT-Charlotte or its licensors and is protected by U.S. and international intellectual property laws. The "IT-Charlotte" name and any associated marks are owned by us.
You may view, print, and download Site content for the limited, internal, non-commercial purpose of evaluating our services. You may not copy, reproduce, modify, republish, distribute, sell, license, or create derivative works from Site content without our prior written permission.
If you provide feedback or suggestions about the Site, you grant IT-Charlotte a perpetual, worldwide, royalty-free license to use that feedback for any business purpose, without obligation to you.
6. Third-Party Services
The Site integrates with third-party services, including a scheduling provider (Cal.com) and an email delivery provider (Resend). Your use of those services is also subject to those providers' terms and policies. IT-Charlotte is not responsible for the operation, availability, or content of third-party services.
7. Disclaimer of Warranties
THE SITE AND ALL CONTENT, ESTIMATES, PRICING TOOLS, AND COMMUNICATIONS PROVIDED THROUGH THE SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IT-CHARLOTTE DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, IT-CHARLOTTE DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; THAT ESTIMATES, PRICING, OR INFORMATIONAL CONTENT WILL BE ACCURATE, CURRENT, OR COMPLETE; OR THAT THE SITE OR ANY SERVER MAKING IT AVAILABLE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL IT-CHARLOTTE OR ITS OWNERS, MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, LOSS OF GOODWILL, OR COST OF SUBSTITUTE SERVICES, ARISING FROM OR RELATED TO YOUR USE OF THE SITE, EVEN IF IT-CHARLOTTE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IT-CHARLOTTE'S AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). Claims arising from a signed MSA are governed by the liability provisions of that agreement, not by this section.
Some jurisdictions do not allow certain limitations or exclusions of liability, so portions of this section may not apply to you.
9. Indemnification
You agree to defend, indemnify, and hold harmless IT-Charlotte and its owners, members, officers, employees, contractors, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to your unlawful or unauthorized use of the Site, your violation of these Terms or our Acceptable Use Policy, or your violation of any applicable law or third-party right.
10. Termination and Suspension
We may suspend, restrict, or terminate your access to the Site at any time, with or without notice, if we reasonably believe you have violated these Terms, our Acceptable Use Policy, or applicable law, or if your activity creates risk for the Site, our vendors, or other users. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.
11. Governing Law and Venue
These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-law rules. Subject to any mandatory law to the contrary, the state and federal courts located in Mecklenburg County, North Carolina will have exclusive jurisdiction and venue over any dispute arising from or related to these Terms or the Site, and you consent to that jurisdiction and venue.
12. Force Majeure
IT-Charlotte will not be liable for any failure or delay in operating the Site caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, fire, flood, severe weather, war, terrorism, civil unrest, labor disputes, governmental action, public-health emergencies, internet or telecommunications outages, vendor failures, denial-of-service attacks, or hardware or power failures.
13. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted on this page with a new effective date. Material changes will be highlighted at the top of the page for a reasonable period. Your continued use of the Site after the updated Terms are posted means you accept the updated Terms.
14. Miscellaneous
- Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
- No waiver. Our failure to enforce any provision is not a waiver of that provision or any other.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Entire agreement. These Terms, together with the Privacy Policy and Acceptable Use Policy, are the entire agreement between you and IT-Charlotte regarding use of the Site, and supersede all prior or contemporaneous understandings.
- No third-party beneficiaries. These Terms do not create any third-party beneficiary rights.
